Terms of Service

1. Introduction

Welcome to OGA SAAS ("the Service"), a music school management platform operated by Travis Osterloh, sole proprietor ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and OGA SAAS governing your access to and use of the platform, including any associated features, content, and services. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

• "Service" refers to the OGA SAAS platform, including all web applications, APIs, edge functions, and associated infrastructure available at ogasaas.com and its subdomains.
• "Account" refers to the registered user profile you create to access the Service.
• "Organization" refers to a music school, studio, or education business entity created within the Service, identified by a unique subdomain.
• "User" refers to any individual who accesses the Service, including organization owners, administrators, teachers, and staff members.
• "Content" refers to any data, text, images, files, or other materials uploaded, submitted, or generated through the Service.

3. Account Registration

To use the Service, you must create an account. By registering, you agree to the following:

• Age requirement: You must be at least 18 years old to create an account and use the Service.
• Accurate information: You must provide accurate, current, and complete information during registration and keep your account information up to date.
• One account per person: Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or for any other reason is prohibited.
• Account security: You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
• Account responsibility: You are fully responsible for all actions taken through your account, whether or not authorized by you.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription & Billing

Free Trial

New organizations are eligible for a 14-day free trial. No credit card is required to start your trial. During the trial period, you have access to all features included in your selected plan.

Subscription Plans

After the trial period, continued access requires an active paid subscription. Subscriptions are available on monthly or annual billing cycles. You may choose a recommended plan (Essentials, Professional, Business, or Enterprise) or build a custom plan from individual packages and add-ons.

Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You will be charged the then-current rate for your plan at each renewal.

Pricing Changes

We reserve the right to modify pricing at any time. We will provide at least 30 days' written notice before any price increase takes effect. Price changes will apply at the start of your next billing cycle following the notice period.

Refund Policy

If you are unsatisfied with the Service, you may request a pro-rated refund within the first 30 days of your initial paid subscription. Refund requests should be sent to legal@ogasaas.com. After the 30-day period, payments are non-refundable, though you may cancel your subscription at any time to prevent future charges.

Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring basis. Add-on charges (additional students, users, storage) are billed alongside your subscription.

5. Acceptable Use

You agree not to use the Service to:

• Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Send unsolicited commercial messages (spam) through the Service's email features.
• Scrape, crawl, or use automated tools to extract data from the Service without written permission.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service.
• Share account credentials with unauthorized individuals or allow others to access the Service through your account.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

Violation of these terms may result in immediate suspension or termination of your account.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

• Data ownership: Each organization retains full ownership of all data entered into the Service by its users, including student records, financial data, schedules, and communications.
• No data selling: We do not sell, rent, or trade your data or your organization's data to third parties for marketing or advertising purposes.
• Data processing: We process your data solely for the purpose of providing and improving the Service.
• Data accuracy: You are solely responsible for the accuracy, quality, and legality of your data and the means by which you acquired it, including all student and family data entered into the platform.
• Data portability: You may export your data at any time through the available export features in the Service.

7. Multi-Tenant Isolation

OGA SAAS is a multi-tenant platform, meaning multiple organizations share the same underlying infrastructure. We implement robust data isolation measures to ensure security:

• Row-Level Security (RLS): Every database table is protected by row-level security policies that restrict data access to the owning organization.
• Organization-scoped queries: All data queries are automatically scoped to your organization. Users cannot access, view, or modify data belonging to other organizations.
• Isolated subdomains: Each organization operates under its own subdomain, providing clear separation of identity and access.
• Defense in depth: Multiple layers of access control ensure that even if one mechanism is bypassed, additional safeguards protect your data.

While we employ industry-standard security practices, no system can guarantee absolute security. We continuously monitor and improve our isolation mechanisms.

8. Intellectual Property

Our Property

The Service, including its design, code, features, documentation, branding, logos, and all related intellectual property, is owned by OGA SAAS and protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our express written consent.

Your Property

You retain all rights to the content and data you upload or create through the Service. By using the Service, you grant us a limited, non-exclusive license to host, store, and process your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

9. Service Availability

We strive to maintain the highest possible availability of the Service. However:

• Best-effort uptime: We use commercially reasonable efforts to ensure the Service is available and operational, but we do not guarantee any specific uptime percentage.
• Scheduled maintenance: We may perform scheduled maintenance from time to time. We will provide reasonable advance notice of maintenance windows that may impact availability.
• No SLA guarantee: The Service is provided without a formal Service Level Agreement (SLA). We do not offer service credits or compensation for downtime.
• Third-party services: The Service integrates with third-party providers (including Stripe, Supabase, and Resend). We are not responsible for the availability or performance of third-party services.
• Force majeure: We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.

10. Termination

By You

You may cancel your subscription and terminate your account at any time through the billing management page or by contacting us at support@ogasaas.com. Upon cancellation, your subscription will remain active until the end of the current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in activity that we reasonably believe harms the Service or other users. We will make reasonable efforts to notify you before termination, except in cases of severe violations.

Data After Termination

Following account cancellation or termination, your data will remain available for export for 30 days. After this 30-day period, we will permanently delete all organization data from our systems. It is your responsibility to export any data you wish to retain before the end of this period.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall OGA SAAS, its owner, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to OGA SAAS during the 12 months immediately preceding the event giving rise to the claim.
• Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account and/or by posting a prominent notice on the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue use of the Service and cancel your account before the changes take effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the State of Texas.
